Agreement to Terms

These Terms of Service ("Terms") govern your use of the Lease Minder application and website at www.goleaseminder.com (the "Service"), operated by Lease Minder ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Description of Service

Lease Minder is a lease and contract management tool that allows you to:

• Upload PDF lease and contract documents
• Automatically extract structured data from those documents using text extraction and large language models
• Review, manually correct, and annotate extracted lease information
• Receive email notifications about lease expirations and renewal deadlines
• Search, filter, and organize your lease portfolio

The Service is designed to assist with lease document management. It is not a substitute for legal, financial, or real estate advice.

Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

Account Registration

You sign in to Lease Minder using Google OAuth. You are responsible for maintaining the security of your Google account. You agree to notify us promptly if you believe your account has been accessed without authorization.

You may not share your account with others or allow others to access the Service through your credentials.

Acceptable Use

You agree to use the Service only for lawful purposes.

• Do not upload documents you are not authorized to possess or share.
• Do not upload files containing malware, viruses, or malicious code.
• Do not attempt to access other users' data or documents.
• Do not interfere with or disrupt the Service or its infrastructure.
• Do not use the Service to violate any applicable law or regulation.
• Do not reverse-engineer or attempt to extract the source code.
• Do not scrape, crawl, or bulk-download data from the Service.
• Do not circumvent access controls, authentication mechanisms, or security features.

Your Content

Ownership

You retain full ownership of all documents you upload and all data you enter into the Service. We do not claim any ownership rights over your content.

License to Operate the Service

By uploading documents, you grant us a limited, non-exclusive license to process, store, and display your content solely to provide the Service to you. This includes extracting text, running LLM-based analysis, and storing extracted data in your account. This license ends when you delete your content or your account.

Aggregate Data

You agree that we may use anonymized and aggregated data derived from lease documents, such as square footage ranges, lease term durations, and rental rate bands, to develop market trends and benchmarking features for our paid services. This aggregate data will never identify you, your company, any individual, or any specific property.

We will never use personally identifiable information, including names, email addresses, specific property addresses, or individual pricing details, in any aggregate analysis, market report, or external product.

We will never sell, rent, or transfer your personal information or your uploaded documents to any third party.

Extraction Accuracy and Disclaimer

Lease Minder uses automated text extraction and large language model processing to extract structured data from your documents. While we work to make extraction as accurate as possible:

• Extracted data may contain errors, omissions, or misinterpretations. You are responsible for reviewing all extracted information for accuracy.
• The Service does not provide legal, financial, or real estate advice.
• Do not rely solely on extracted data for making business, legal, or financial decisions.
• Scanned or image-based PDFs may not extract properly. The Service currently supports digital PDFs where text can be selected and copied.

The manual correction feature exists specifically so you can review and fix extraction results. We encourage you to use it.

Email Notifications

If you enable email notifications, we will send you reminders about lease expirations, renewal notice deadlines, and processing issues based on the preferences you configure. You may disable any or all notifications at any time through the notification settings page.

Notification emails are informational and should not be relied upon as the sole method of tracking critical lease dates. We do not guarantee delivery timing of email notifications.

Fees and Payment

Lease Minder is currently offered at no charge during the early access period. We reserve the right to introduce paid features or subscription plans in the future. If we do, we will notify you in advance and will not charge you without your consent.

Service Availability

We strive to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or unforeseen issues.

We reserve the right to modify, suspend, or discontinue the Service at any time. If we discontinue the Service entirely, we will provide reasonable notice and an opportunity for you to export or delete your data.

Data Security

We implement reasonable technical and organizational measures to protect your data, including encrypted data transmission, authentication-scoped API access, private file storage, and row-level database security. However, no system is completely secure. You acknowledge that you provide data at your own risk.

Termination

You may stop using the Service at any time. You may delete individual contracts through the application or request full account deletion by contacting us.

We may suspend or terminate your access if you violate these Terms or use the Service in a way that could harm other users or the Service itself. If we terminate your access, we will provide a reasonable opportunity to retrieve or delete your data unless termination is due to illegal activity.

Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Lease Minder and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

Your content remains yours. Our technology remains ours.

Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available."
• We disclaim all warranties of merchantability, fitness for a particular purpose, accuracy of extracted data, and non-infringement.
• We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims related to the Service is limited to the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your uploaded content, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in King County, Washington.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
